Announcement for the transfer of maintenance service agreement for upgrading the host computer of the automated ticketing system.

2. Counterparty of the contract or commitment: Kyndryl Taiwan Corporation
3. Relationship with the Company: N/A
4. Reason for amendment: IBM Taiwan Corporation, the contractor for the subject maintenance service agreement has requested for THSRC’s consent to transfer the said agreement to Kyndryl Taiwan Corporation, the newly spun off company established from the managed-infrastructure services unit of IBM’s Global Technology Services.
5. Content amended: THSRC has agreed to have Kyndryl Taiwan Corporation to continue to perform the services, and to undertake all the rights, liabilities and obligations set forth under the subject agreement.

   (1) A previous resolution was adopted by the second meeting of the eighth session  of the Board of Directors on June 8, 2017, with an announcement made on the same
        date.
   (2) In spite of the transfer, no changes will be applied to the original contract price of NT$600,772,344 (tax included) and the contract duration.
